Welcome to prospectgri.com (the "Site"), the website and online presence of Prospect Global Resources Inc. ("Prospect Global", "we", or "us"), an exploration stage company engaged in the exploration and mining of potash in the undeveloped Holbrook Basin of eastern Arizona. Prospect Global respects the privacy of those who access and/or use the Site ("You", "Your", "User", or collectively "Users") and is committed to protecting the privacy of the personally identifiable information we collect from You as You access and/or use the Site via the Internet, the world wide web, mobile networks, or any other communication methods now known or in the future developed. The purpose of this Privacy Policy (the "Privacy Policy") is to inform You about the types of information we gather about You, including information gathered when You visit the Site, how we may use that information, whether we disclose that information to anyone, and the choices You have regarding our use of, and Your ability to correct, the information.

THIS PRIVACY POLICY HEREBY INCORPORATES BY REFERENCE THE TERMS OF USE OF THE SITE AND IS INCORPORATED INTO AND IS SUBJECT TO THE TERMS THEREIN. YOUR USE OF THE SITE AND ANY PERSONAL INFORMATION YOU PROVIDE THROUGH THE SITE ARE SUBJECT AT ALL TIMES TO THE PRIVACY POLICY AND THE TERMS OF USE.   1. The Information That The Site Collects.

    2. Personally Identifiable Information. Prospect Global only collects Personally Identifiable Information that is voluntarily provided to us by a User. Personally Identifiable Information that we collect may include Your name, company name/employer, email address, postal address, ZIP code, telephone number, and other information either desirable or necessary to provide quality services to visitors of the Site. We may also collect information about You related to Your use of the Site and communication preferences.
  2. The Way We Use This Information.
    1. Automatically Collected Information. Prospect Global uses cookies and other automatically collected information to identify prior Users, to track usage of the Site, and for analytical purposes to help us improve the Site and our business in general. We may on occasion provide this information to, or receive this information from, an Affiliate or third party assisting us in providing these functions.

      The information collected through use of Google Analytics (or a similar site or service) will be used for the purpose of evaluating consumer use of the Site, compiling reports on Site activity for our use, and providing other services relating to Site activity and usage. Google may also transfer this information to third parties where required to do so by law, or where such third parties process the information on Google's behalf. The Personally Identifiable Information that Users voluntarily provide to Prospect Global may be disclosed and/or used by Prospect Global and our Affiliates for administrative purposes; for authentication purposes; to properly operate, maintain, and provide You with the features and functionality of the Site; to customize and personalize features for You and otherwise enrich Your experience when using the Site; to present You with promotions, advertisements, opportunities and information we believe may be of interest to You; to offer You products or services You desire; to present a person who in the reasonable judgment of Prospect Global is seeking the information as Your agent; to enable our Affiliates to assist us in operating, maintaining, and providing our services and products to You; to enable us to carry out our obligations arising from any contracts/subscriptions entered into with You; to notify You about changes to the Privacy Policy, the Terms of Service, or the Site (if we deem it appropriate and/or necessary); to investigate violations or suspected violations of the Terms of Use; to enforce or apply our rights under the Terms of Use; to improve the quality and design of the Site and to create new features, promotions, functionality, and services by storing, tracking, and analyzing Your preferences and trends. The Personally Identifiable Information that Users voluntarily provide to Prospect Global also may be disclosed and/or used by Prospect Global in connection with certain events that are outside of Prospect Global 's ordinary business practices, as addressed in Section VI below.

      To the extent we are able to do so, we may link Your Non-Personally Identifiable Information with Your Personally Identifiable Information. We also may link information collected online with information we collect offline or with information that is collected by third parties.

      From time to time, You may receive periodic e-mails or mailings from us with news or other information on services, information, events or other offers from or on behalf of Prospect Global. If at any time ou wish to stop receiving emails or mailings from us, please following the unsubscribe instructions set forth at the bottom of most e-mail messages you receive from Prospect Global.

  3. Security of Information. Prospect Global maintains our systems in accordance with commercially reasonable industry standards to preserve the integrity and security of Your Personally Identifiable Information. After You have submitted Your information online to Prospect Global, we recommend that You end Your browser session before leaving Your computer. In spite of these protections, we cannot, however, ensure or warrant the security of any information You Transmit over the Internet to the Site, and You do so at Your own risk. Once we receive Your transmission of information, we make commercially reasonable efforts to ensure the security of our systems and to store the information on servers (or, in the case of information received from You in person, in writing or over the phone, in physical storage areas) protected by procedures and technology designed to block reasonably foreseeable intrusions by unauthorized third parties.     PROSPECT GLOBAL ALSO RESERVES THE RIGHT TO DISCLOSE USER INFORMATION IN THE GOOD-FAITH BELIEF THAT IT IS REQUIRED OR PERMITTED BY LAW TO DO SO PURSUANT TO JUDICIAL OR OTHER GOVERNMENTAL SUBPOENAS, WARRANTS, OR ORDERS, OR TO DISCLOSE SUCH DATA TO A GOVERNMENTAL INSTITUTION THAT HAS ASSERTED ITS LAWFUL AUTHORITY TO OBTAIN THE INFORMATION.

    PROSPECT GLOBAL ALSO RESERVES THE RIGHT TO DISCLOSE USER INFORMATION THAT WE BELIEVE, IN GOOD FAITH, IS APPROPRIATE OR NECESSARY: TO TAKE PRECAUTIONS AGAINST LIABILITY; TO INVESTIGATE AND PROTECT PROSPECT GLOBAL OR THE SITE, PROSPECT GLOBAL CONTENT OR PROSPECT GLOBAL TECHNOLOGY FROM FRAUDULENT, ABUSIVE, OR UNLAWFUL USES; TO INVESTIGATE AND DEFEND OURSELVES AGAINST THIRD-PARTY CLAIMS OR ALLEGATIONS; TO ASSIST GOVERNMENT ENFORCEMENT AGENCIES; TO INVESTIGATE AND PROTECT THE SECURITY OR INTEGRITY OF THE SITE, PROSPECT GLOBAL CONTENT OR PROSPECT GLOBAL TECHNOLOGY; OR TO PROTECT THE RIGHTS, PROPERTY, OR PERSONAL SAFETY OF PROSPECT GLOBAL, OUR USERS, OR OTHERS.

FOR USERS VISITING THE SITE FROM THE EUROPEAN UNION OR OTHER NON-U.S. COUNTRIES OR TERRITORIES, PLEASE NOTE THAT ANY DATA YOU VOLUNTARILY PROVIDE US WILL BE TRANSFERRED OUTSIDE THE EUROPEAN UNION OR SUCH OTHER NON-U.S. COUNTRY OR TERRITORY FOR USE BY PROSPECT GLOBAL FOR ANY OF THE PURPOSES DESCRIBED HEREIN.
  8. Change in Privacy Policy. Prospect Global reserves the right, in our sole discretion, to modify, alter, or otherwise update this Privacy Policy at any time.   9. Construction. Any capitalized terms used in the Privacy Policy but not defined in the Privacy Policy shall have the meaning given to such term in the Terms of Use. Additionally, when context requires, singular nouns and pronouns include the plural.
